Service
US company formation & LLC accounting
Forming a US LLC or corporation, EIN, state filings, bookkeeping and federal and state returns — including for non-resident owners.
Overview
Forming a US company is quick; keeping it compliant is where owners slip. An accountant in our network helps you choose the state and entity, obtain an EIN, set up the books and file the federal and state returns each year — whether you live in the US or run the business from the Gulf or Pakistan.
We are a matching service: formation filings are made by you or by the professional you choose, and state fees are paid to the state.
What’s included
- Comparing states (home state vs Delaware or Wyoming) and entity type
- EIN application and IRS entity classification
- Bookkeeping set-up and monthly or quarterly books
- Form 1065, 1120, 1120-S or Form 5472 + pro-forma 1120
- State annual reports, franchise tax and registered agent reminders
The exact scope is set in the written proposal from the accountant who takes your engagement. Services are provided by independent professionals in our network, not by Ask Muhasib.

Country-by-country notes
Key rules as we understand them in November 2026, from each country’s tax authority. Where a detail varies we say so — confirm your position with your accountant.
United StatesInternal Revenue Service (IRS)
- Company accounts and audit
- Companies are formed under state law with the Secretary of State. An EIN from the IRS is needed to bank, hire and file. Non-residents can own a US LLC; most states require an annual report and fee.
- Corporate tax / zakat
- C corporations pay 21% federal tax on Form 1120 plus any state corporate or franchise tax. S corporations (1120-S) and multi-member LLCs (1065) usually pass income to owners; a single-member LLC is disregarded by default.
- Record keeping
- The IRS generally recommends keeping records for at least 3 years after filing, longer in some cases (for example 6 years if income was substantially under-reported, and 4 years for employment tax records).
Common mistakes to avoid

Frequently asked questions
Can a non-resident own a US LLC?
Yes. There is no citizenship requirement. You will need an EIN, a registered agent in the state, and you must file the federal forms that apply even if the LLC owes no US tax.
Is Delaware always best?
No. Delaware suits companies raising venture capital. Small businesses often do better in the state where they actually operate, because they must register there anyway.
What does a state annual report cost?
It varies by state and changes over time. We have not verified current fees, so confirm with your accountant or the Secretary of State.
